Because of the need to run the Bank in a commercial manner, the Bank was restructured to create a Board of Directors to oversee the overall affairs of the Bank. The Board is comprised of seven members. Six of the members are elected by the shareholders. Being the major shareholder, The FSM National Government is represented with two slots on the board while four slots are given to each of the States more so as a courtesy. The seventh board member is the President and Chief Executive Officer (CEO), who serves as the Ex-Officio to the board. Despite the ownership make-up, all of the Board members have equal voting rights. Aside from the Ex-Officio, All Board members serve a term of 3 years on a staggering basis. Regular Board meetings are held four times a year on a calendar quarterly basis. Special meetings can be held at the discretion of the Board.
